1. LEGALLY BINDING AGREEMENT

These Terms and Conditions (the “Agreement”) constitute a legally binding contract between you (“Client”) and THEODORE VAUSSIER / VAUSSIER (collectively, “Vaussier,” “we,” “us,” or “our”) concerning the purchase of any product, item, or service (collectively, “Goods”) made available by Vaussier, whether through private appointment, digital platform, showroom, authorized stockist, or any other channel under our brand’s aegis.

By placing an order, you acknowledge and affirm that you have read, understood, and agreed to be bound, without limitation or qualification, by the entirety of this Agreement. This Agreement supersedes any and all prior understandings, communications, or representations, whether oral or written.

2. ABSOLUTE FINALITY OF SALE

All transactions are strictly non-cancellable, non-returnable, non-exchangeable, and non-refundable. No exceptions. This absolute finality applies irrespective of reason, including but not limited to: change of mind, incorrect selection, dissatisfaction, delayed delivery, gifting errors, or sizing issues.

Each item sold by Vaussier is considered a final acquisition—a connoisseur’s decision—and may not be revoked under any circumstances. You understand and agree that this policy reflects the uncompromising standards and exclusivity upon which the House of Vaussier is founded.

3. WAIVER OF CONSUMER RIGHTS

To the maximum extent permitted by applicable law, you irrevocably waive all rights of withdrawal, rescission, cancellation, or reversal under any local, federal, or international consumer protection statute or regulatory framework, including but not limited to the EU Consumer Rights Directive, the UK Consumer Contracts Regulations, the U.S. Uniform Commercial Code, or any similar provisions worldwide.

If you reside in a jurisdiction where such waiver is prohibited, you may not purchase from Vaussier.

4. MADE-TO-ORDER & LIMITED PRODUCTION NATURE

Many Vaussier items are produced in highly limited quantities or tailored precisely to Client specifications. This rarity is intrinsic to our design philosophy. As such, Clients are expected to exercise due diligence prior to confirming any order. Once confirmed, all orders are final and may not be revised, canceled, or reissued.

5. AUTHENTICITY & QUALITY STANDARDS

Vaussier guarantees the authenticity and origin of every item. Each product is subject to multiple layers of quality inspection. Any irregularities are not defects but are inherent characteristics of the artisanal or bespoke process.

Should a Client raise a quality concern, it must be submitted in writing to clientcare@vaussier.com within 24 hours of receipt, accompanied by clear, timestamped photographic documentation. Submission does not guarantee resolution. Vaussier retains sole discretion to determine whether any action is warranted, and such determinations shall be final, non-negotiable, and not subject to further review.

6. SHIPMENT REFUSALS AND UNAUTHORIZED RETURNS

Vaussier does not accept returns under any circumstance. Any package sent to Vaussier without formal, written authorization will be refused, discarded, or returned to sender at sender’s expense, with no liability incurred by Vaussier. The Client shall remain liable for all fees, customs, duties, and charges resulting from unauthorized shipments.

7. LIMITATION OF LIABILITY

Under no circumstance shall Vaussier, its principals, agents, affiliates, artisans, suppliers, or representatives be liable for any indirect, special, incidental, consequential, punitive, or exemplary damages, including but not limited to loss of profits, opportunity, goodwill, or use, arising out of or related to any purchase. Our total liability shall never exceed the actual purchase price paid for the item in question, regardless of theory of liability asserted.

You agree to indemnify and hold harmless Vaussier against any claims, damages, or expenses resulting from your breach of this Agreement.

8. FORCE MAJEURE

Vaussier shall not be liable for any failure or delay in performance or delivery due to acts of God, natural disaster, pandemic, labor strike, government action, war, civil unrest, embargo, or any circumstance beyond our control.

9. INTELLECTUAL PROPERTY & NON-DISPARAGEMENT

All intellectual property associated with Vaussier—including designs, trademarks, photographs, logos, product names, brand philosophy, and stylistic expressions—are protected under applicable copyright, trademark, and trade dress law. Reproduction, duplication, or distribution without express written consent is strictly prohibited.

Clients are prohibited from publicly disparaging the brand in any form. This includes reviews, posts, or content shared online or otherwise. By entering into this Agreement, you agree that all disputes or criticisms must be resolved privately, through arbitration as outlined below.

10. DISPUTE RESOLUTION & GOVERNING LAW

This Agreement shall be governed exclusively by the laws of the Commonwealth of Kentucky, United States, or France for EU  without regard to its conflict of laws principles.

Any dispute arising under or in relation to this Agreement or any Vaussier transaction shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Boston, Massachusetts, in the English language, before a single arbitrator with expertise in luxury retail.

All proceedings are to be confidential. You expressly waive all rights to a public trial, class action, or jury proceeding.

11. NON-TRANSFERABILITY & ANTI-RESELLER CLAUSE

Purchases from Vaussier are intended solely for the personal use of the original Client. Unauthorized resale, consignment, or transfer of Vaussier items without prior written consent is strictly prohibited. We reserve the right to blacklist, ban, and pursue legal action against individuals or entities suspected of commercial exploitation or parallel importing of our Goods.

12. RIGHT TO REFUSE SERVICE

Vaussier reserves the absolute right to refuse service, access, or sale to any individual, entity, or location, without explanation, and without liability.

13. ENTIRE AGREEMENT & NON-WAIVER

This Agreement constitutes the entire understanding between the Client and Vaussier and supersedes all prior representations. Any failure by Vaussier to enforce any part of these Terms shall not constitute a waiver of our rights.

BY PURCHASING FROM VAUSSIER, YOU DECLARE UNDER PENALTY OF PERJURY THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPT THE ABOVE TERMS IN FULL.
